By accessing or using any or all of the Services, you explicitly acknowledge that

(ii) you agree to abide by these Terms;

(iii) you are legally capable of entering into this agreement.

If you do not agree to these Terms or any future updates or modifications to them, you should refrain from accessing or using our Services. We do not offer investment or financial advice or consulting services. VIP Web3 Wallet is solely provided by us, and we do not provide advice or recommendations regarding digital asset transactions or operations. Decisions regarding transactions or operations involving digital assets should be made independently.

For details on how we collect, use, and disclose information from our users, please refer to our Privacy Policy at https://vipaffiliatewallet.com/privacy-policy. By using the Services, you acknowledge and agree that we may collect, use, and/or disclose your information (including any personal data you provide to us) in accordance with our Privacy Policy.

We reserve the right to update or modify these Terms at our discretion. If changes are made, we will notify you by posting the revised Terms on our website, mobile application, or through other reasonable means of communication. The revised Terms will take effect immediately upon posting, unless otherwise specified. Please regularly check our website to stay informed of any updates and decide whether to accept the revised Terms. By continuing to use VIP Web3 Wallet after any update or modification to the Terms, you are considered to have accepted the changes. If you do not agree to the Terms or any updates, you must discontinue accessing or using our Services. As our Services evolve, we may change or discontinue all or part of them at any time, without prior notice, and at our sole discretion.

To use VIP Web3 Wallet, you must meet the following eligibility criteria:

(i) you must be at least eighteen (18) years old and legally capable of entering into these Terms;

(ii) you must not reside in jurisdictions subject to trade embargoes, UN Security Council Resolutions (“UNSCR”), or HM Treasury’s financial sanctions regime;

(iii) you must not be listed on economic sanctions lists such as the United Nations Security Council Sanctions List, OFAC's list of specially designated nationals, the U.S. Department of Commerce's denied persons or entity list, or similar lists maintained by other relevant sanctions authorities.

If You are using our Services on behalf of a legal entity, you additionally confirm that:

(iv) the entity is duly organized and valid under its jurisdiction's laws;

(v) you are authorized by the entity to act on its behalf. Your use of our Services must comply with the laws of your jurisdiction. Specifically, you may not use our Services if doing so would be illegal or violate any applicable laws in your state, country, territory, or jurisdiction.

Please ensure compliance with all relevant laws, rules, and regulations. By using VIP Web3 Wallet, you affirm that you are using legally obtained funds belonging to you. You confirm that you meet all eligibility criteria outlined in these Terms. While we may restrict access to VIP Web3 Wallet for certain individuals, we reserve the right to modify our eligibility requirements at any time.

VIP Web3 Wallet is a non-custodial wallet software designed for digital assets such as cryptocurrencies, virtual commodities, and NFCs ("Digital Assets"). This means you have full control and responsibility over your Digital Assets and private keys, enabling you to authorize transactions from your wallet address. By using VIP Web3 Wallet, you explicitly acknowledge and agree that you are solely responsible for your activities and bear any risk of loss at all times.

You are using our Services on behalf of a legal entity, you additionally confirm that: (iv) the entity is duly organized and valid under its jurisdiction's laws; and (v) you are authorized by the entity to act on its behalf. Your use of our Services must comply with the laws of your jurisdiction. Specifically, you may not use our Services if doing so would be illegal or violate any applicable laws in your state, country, territory, or jurisdiction. Please ensure compliance with all relevant laws, rules, and regulations. By using VIP Web3 Wallet, you affirm that you are using legally obtained funds belonging to you. You confirm that you meet all eligibility criteria outlined in these Terms. While we may restrict access to VIP Web3 Wallet for certain individuals, we reserve the right to modify our eligibility requirements at any time.

VIP Web3 Wallet enables you to:

1. Generate wallet addresses and associated private keys for sending and receiving digital assets.

2. Access and interact with third-party decentralized applications ("DApps") and decentralized exchanges ("DEX") through the mobile application’s web browser.

3. Swap or trade digital assets using DApp functionalities provided by third-party service providers.

Stake certain digital assets within third-party 'proof of stake' networks through staking services ("Staking Service").

View digital asset price information provided by third-party service providers.

Broadcast Digital Asset Transaction data to various Advance Blockchains supported by VIP Web3 Wallet, without requiring you to download or install associated Advance Blockchain-based software on your local device.

Wallet Address, Private Key, and Backup Procedures

Your wallet’s encrypted backup, containing certain associated information, can be stored on compatible devices. The private key pairs with the wallet address to authorize the transfer of Digital Assets to and from that address. It is your sole responsibility to securely retain and protect your private key and any mnemonic phrase (“Secret Phrase”) linked to your wallet. Safeguarding your wallet address, Secret Phrase, and private key access details is crucial. It is highly recommended to back up your private keys, mnemonic phrases, or passwords. Failure to do so could lead to the loss of control over Digital Assets associated with your wallet.

Please note that we neither receive nor store your wallet password, encrypted private key, unencrypted private key, or Secret Phrase. Therefore, we cannot generate a new password for your wallet if you forget the original one. If you fail to securely store backups of wallet address and private key pairs maintained within your wallet, you acknowledge and agree that any Digital Assets associated with those addresses may become inaccessible. Consequently, we bear no responsibility or liability if you cannot access your wallet due to any reason, including your failure to maintain the security of your wallet address, Secret Phrase, and private key information.

Utilization of DApps and Decentralized Exchanges (DEX) Coming Soon

When accessing or using DApps or DEX, including embedded DApp functionalities within our Services like the Trade/Swap Digital Assets feature, you acknowledge and agree to the following terms:

(i) VIP Web3 Wallet assumes no responsibility for your use of DApps or DEX and bears no liability for any associated transactions, including disputes; (ii) daily exchange limits via DEX are subject to third-party Smart Contract requirements;

(iii) Advance Blockchain transactions are irreversible, making you solely accountable for any issues arising from transactions, such as sending funds to an incorrect address or node server problems;

(iv) third-party Smart Contracts used in DApps or DEX may impose handling or service fees, and any fee information provided by VIP Web3 Wallet is for reference only, with no guarantee of accuracy, applicability, reliability, integrity, or suitability, and VIP Web3 Wallet is not liable for any resulting loss or damage;

(v) VIP Web3 Wallet currently does not charge service or handling fees for using DApps or DEX, but reserves the right to implement such fees at its discretion in the future, effective from the date specified for any updates.

Utilization of Staking Services

When you access or utilize the Staking Service, a third party may stake certain Digital Assets on your behalf ("Staked Digital Assets"), acting as a validator for transactions on the relevant Advance Blockchain network. If these Staked Digital Assets successfully validate a block of transactions, you may receive a reward from the network ("Staking Reward").

You acknowledge and agree that VIP Web3 Wallet:

(i) bears no responsibility for your use of the Staking Service and assumes no liability in connection with it;

(ii) does not guarantee continuous staking operations;

(iii) does not ensure that any specific Digital Asset will be staked or remain staked.

When you purchase Digital Assets using VIP Web3 Wallet with your credit or debit card, a third party will convert your selected amount into the corresponding Digital Asset and deposit it into your wallet. You acknowledge and agree that:

(i) VIP Web3 Wallet bears no responsibility for your use of this third-party service and assumes no liability for its use;

(ii) you are subject to the terms and conditions set by the third-party service provider;

(iii) VIP Web3 Wallet cannot alter, retract, or cancel any conversion requests you initiate;

(iv) VIP Web3 Wallet is not accountable for the exchange rates offered by the third-party service provider(s);

(v) VIP Web3 Wallet is not responsible for any fees imposed by the third-party service provider(s), your bank, or your credit card issuer(s).

For all proposed transactions involving Digital Assets to be finalized, they must be confirmed and recorded on the associated public Advance Blockchain of the Digital Asset. These Advance Blockchains are decentralized, peer-to-peer networks operated by independent third parties that we neither own, control, nor operate. We lack control over these Advance Blockchain networks and thus cannot guarantee that any transaction details you submit through our Services will be confirmed and processed. By using VIP Web3 Wallet, you acknowledge and agree that:

(i) we cannot cancel or modify your transaction;

(ii) transaction details you submit may face delays or may not be completed by the relevant Advance Blockchain networks;

(iii) we do not store, send, or receive Digital Assets;

(iv) any transfer of Digital Assets occurs solely on the respective Advance Blockchain network, not on any network controlled by us, thereby we do not assure the transfer of ownership or rights to any Digital Asset.

By using the Services, you affirm that all information you provide is accurate and comprehensive. You acknowledge that any errors or omissions made by you in initiating a Digital Asset transaction via the Services are your responsibility, and we are not liable for them. We recommend thoroughly reviewing your transaction details before proceeding with any Digital Asset transfer.

To use VIP Web3 Wallet, you must import or create a wallet. Upon creation, you will receive a private key. You agree to promptly inform us of any unauthorized use of your private key or any security breach concerning your wallet. However, you acknowledge and accept all risks associated with using the Services, and you are solely responsible for safeguarding the confidentiality and security of your private key. When creating a wallet, it is strongly recommended to take preventive measures to prevent loss of access or control, such as:

(a) using a strong, unique password distinct from other passwords (e.g., not your phone password or passwords used for other websites or services), and utilizing biometric authentication if available;

(b) avoiding storing the private key and Secret Phrase in plain text online or in insecure physical locations;

(c) restricting access to your devices and wallet;

(d) protecting against malware on your devices and networks;

(e) promptly notifying us of any suspected or discovered security breaches related to your wallet. Regardless of the circumstances, we bear no liability for any activities conducted with or without your authorization on your wallet.

You can choose to receive push notifications from VIP Web3 Wallet, which will notify you when supported Advance Blockchain networks are congested or when transactions involving your wallet are completed. To enable push notifications, please opt in by accessing the "Settings" and enabling "Push Notifications".

Any fees applicable to the Services or its components will be detailed on trustwallet.com and/or the VIP Web3 Wallet mobile application.

Transaction Fees Your virtual currency transactions may incur transaction fees (e.g., mining fees) required by the virtual currency system or Advance Blockchain network you are using. Ensure you have an adequate balance in your wallet and/or sufficient “gas” to complete transactions before initiating them. You acknowledge and agree that we are not liable for any failed transactions or losses incurred due to incorrectly set transaction fees (whether too low or too high) or insufficient funds or gas in your wallet. Additionally, you acknowledge and agree that we do not have access to your or anyone else’s transactions.

Taxes You are responsible for determining what taxes, if any, apply to the transactions you have submitted via the Services. It is your responsibility to report and remit the correct tax to the appropriate tax authority. You agree that we are not responsible for determining whether taxes apply to your transactions, nor for collecting, reporting, withholding, or remitting any taxes arising from any Digital Asset-related transactions.

A description or reference to a third party’s product or service (including, but not limited to, providing a description or reference via hyperlink) shall not be construed as an endorsement or promotion of such third party products or services by us under any circumstances. We retain the exclusive right to add, modify, or cancel the availability of any Third Party Service.

You may choose to receive push notifications from Third Party Content providers, but you must opt-in to this service. Push notifications will not be automatically enabled on your device for Third Party Content. We do not control, endorse, or adopt any Third Party Content shared through push notifications, and we will have no responsibility for Third Party Content, including but not limited to, token availability and/or sales.

If you grant express permission to a third party to access or connect to your VIP Web3 Wallet account, either through the third party’s product or service or through VIP Web3 Wallet, you acknowledge that this does not relieve you of any of your responsibilities under these Terms. You are fully responsible for all acts or omissions of any third party with access to your wallet.

As long as you agree to and comply with these Terms, we grant you a non-exclusive, non-sublicensable, and non-transferable license to use VIP Web3 Wallet for your personal or internal business use only. Except as expressly permitted in these Terms, you will not:

(a) reproduce, modify, adapt, or create derivative works of any part of VIP Web3 Wallet;

(b) rent, lease, distribute, sell, sublicense, transfer, or provide access to VIP Web3 Wallet;

(c) use VIP Web3 Wallet for the benefit of any third party;

(d) incorporate VIP Web3 Wallet into a product or service you provide to a third party without our prior written consent;

(e) circumvent mechanisms in VIP Web3 Wallet intended to limit your use;

(f) reverse engineer, disassemble, decompile, translate, or otherwise seek to obtain or derive the source code, including images and texts, underlying ideas, algorithms, file formats, or non-public APIs of VIP Web3 Wallet, except to the extent expressly permitted by applicable law (and then only upon advance notice to us);

(g) remove or obscure any proprietary or other notices contained in VIP Web3 Wallet; (h) use VIP Web3 Wallet for competitive analysis, as part of any other software or project, or to build competitive products.

From time to time, you may choose to submit feedback to us. In connection with VIP Web3 Wallet, we may freely use, copy, disclose, license, distribute, and exploit any feedback in any manner without any obligation, royalty, or restriction based on intellectual property rights or otherwise. No feedback will be considered your Confidential Information, and nothing in this Agreement limits our right to independently use, develop, evaluate, or market products or services, whether incorporating feedback or otherwise.

VIP Web3 Wallet was developed under a GPL open source license. Since the software development is community-based, it can be accessed, used, and shared, in modified or unmodified form, by anyone. Please note that GPL is a copyleft license, which means any derivative works can only be distributed under the same license terms as the original software.

VIP Web3 Wallet may contain copyrighted material and trademarks, including but not limited to text and graphics (the “Content”), protected by copyright law, registered and unregistered trademarks, and other intellectual property rights. Unless otherwise specified, we exclusively own the Content. Your use of VIP Web3 Wallet does not grant you any right, title, or interest in the Content. You agree not to copy, reproduce, modify, republish, upload, post, transmit, distribute, collect, sell, license, create derivative works from, or exploit any of the Content, in whole or in part, whether manually or through automated means.

You may store non-fungible tokens ("NFCs") on VIP Web3 Wallet. You represent and warrant that you own all legal rights, titles, and interests, including all intellectual property rights, to the content associated with the NFCs ("NFC Content"), or you are legally authorized by the owner of the intellectual property in the NFC Content to store the NFCs on VIP Web3 Wallet. You retain all rights to the NFC Content stored on VIP Web3 Wallet, except for the rights expressly granted herein.

By using VIP Web3 Wallet, you grant us a license to access, use, host, cache, store, copy, reproduce, transmit, display, publish, distribute, adapt, and modify (for technical purposes, such as ensuring content is viewable on smartphones as well as computers and other devices) the NFC Content in any and all media or distribution methods (now known or later developed) solely as required to operate and provide VIP Web3 Wallet services.

We do not monitor the NFCs and NFC Content stored on VIP Web3 Wallet for any infringement of a third party’s intellectual property rights and assume no liability for any actions regarding any content provided by you. You acknowledge and agree that it is your sole responsibility to conduct all necessary due diligence for your activities related to NFCs, and you represent and warrant that you have not and are not relying on any statements or representations made by us regarding any transfer or interaction with any NFCs.

If you have a dispute related to the NFCs and/or NFC Content, YOU RELEASE US FROM CLAIMS, DEMANDS, AND DAMAGES OF EVERY KIND AND NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES. BY ENTERING INTO THIS RELEASE, YOU EXPRESSLY WAIVE ANY PROTECTIONS (WHETHER STATUTORY OR OTHERWISE) THAT WOULD OTHERWISE LIMIT THE COVERAGE OF THIS RELEASE TO INCLUDE ONLY THOSE CLAIMS WHICH YOU MAY KNOW OR SUSPECT TO EXIST IN YOUR FAVOR AT THE TIME OF AGREEING TO THIS RELEASE.

You agree to comply with all applicable laws when using our Services, including local, provincial, state, federal, national, and international laws. You must not use our Services to pay for, support, or engage in illegal activities such as prohibited trade, illegal gambling, fraud, money laundering, or terrorist activities. If we find that you have violated these Terms or any applicable laws, including the Bank Secrecy Act, we reserve all rights and remedies under these Terms and at law, and will take necessary actions against you.

Additionally, you agree that:

(i) You will not encourage or induce any third party to engage in activities prohibited under this Section;

(ii) You will not impersonate someone or use another user’s wallet without authorization, nor use our Services in any manner that could interfere, disrupt, negatively affect, or inhibit other users from fully enjoying it;

(iii) You will not distribute any virus or other harmful computer code through VIP Web3 Wallet;

(iv) You will not take any action that imposes an unreasonable or disproportionately large load on our or any third-party providers’ infrastructure;

(v) You will not reverse engineer, bypass, circumvent, or attempt to bypass or circumvent any measures we may use to prevent or restrict access to the Services, including other accounts, computer systems, or networks connected to the Services;

(vi) You will not violate, misappropriate, or infringe upon the rights of VIP Web3 Wallet, our users, or others, including privacy, publicity, intellectual property, or other proprietary rights.

While we are not obligated to monitor user content, we reserve the right to take any necessary actions at any time and for any reason without notice if you breach these Terms. Any use of VIP Web3 Wallet not specifically authorized in these Terms, without our prior written permission, is strictly prohibited, and we may terminate your license to use VIP Web3 Wallet immediately without notice. You acknowledge and accept that by using the Services, you may be exposed to content that is offensive, indecent, or objectionable. We take no responsibility and assume no liability for any user content, including any loss or damage to your user content.

You acknowledge and agree that we have no control over, and no duty to take any action regarding:

(i) failures, disruptions, errors, or delays in the processing of Digital Assets that you may experience while using the Services;

(ii) the risk of failure of hardware, software, and Internet connections;

(iii) the risk of malicious software being introduced or found in the software underlying VIP Web3 Wallet;

(iv) the risk that third parties may obtain unauthorized access to information stored within your wallet, including, but not limited to, your wallet address, private key, and Secret Phrase;

(v) the risk of unknown vulnerabilities in or unanticipated changes to the applicable Advance Blockchain networks.

You release us from all liability related to any losses, damages, or claims arising from:

(a) user error such as forgotten passwords, incorrectly constructed transactions, or mistyped Digital Asset addresses;

(b) server failure or data loss;

(c) unauthorized access to the VIP Web3 Wallet application;

(d) bugs or other errors in the VIP Web3 Wallet software;

(e) any unauthorized third-party activities, including, but not limited to, the use of viruses, phishing, brute forcing, or other means of attack against VIP Web3 Wallet.

We make no representations concerning any Third Party Content contained in or accessed through our Services. Any other terms, conditions, warranties, or representations associated with such content are solely between you and such organizations and/or individuals.

To the fullest extent permitted by applicable law, under no circumstances will we, our affiliates, or any of our respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers, or contractors be liable for any direct damages or incidental, indirect, special, punitive, consequential, or similar damages or liabilities whatsoever (including, without limitation, damages for loss of data, information, revenue, profits, or other business or financial benefits), whether under contract, tort, negligence, statute, strict liability, or any other theory, even if we have been advised of the possibility of such damages.

This includes damages arising out of your access or use of the Services, including but not limited to:

1. Unauthorized use of your wallet address and/or private key due to your failure to maintain confidentiality;

2. Interruption or cessation of transmission to or from the Services;

3. Bugs, viruses, Trojan horses, or similar issues found in the VIP Web3 Wallet software or transmitted through our Services by any third party;

4. Actions we take or fail to take based on communications you send to us;

5. Human errors;

6. Technical malfunctions, failures, including public utility or telephone outages;

7. Omissions, interruptions, latency, deletions, or defects of any device, network, providers, or software;

8. Injury or damage to computer equipment;

9. Inability to fully access our website, VIP Web3 Wallet, or the Services, or any other website;

10. Theft, tampering, destruction, or unauthorized access to images or other content;

11. Data processed late, incorrectly, incompletely, or lost;

12. Typographical, printing, or other errors, or any combination thereof;

13. Any other matter relating to the website, VIP Web3 Wallet application, or any other aspect of the Services.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In no event shall our liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of one hundred U.S. dollars ($USD100.00) or its equivalent in the local currency of the applicable jurisdiction.

VIP Web3 Wallet is provided "as is" and "as available," without any warranty of any kind. To the fullest extent permitted by law, we disclaim all representations and warranties, express or implied, regarding the Services and underlying software, or any aspect of the information, content, or the Services, whether provided or owned by us, or by any third party, or contained in any third party materials or on any third party websites accessible or linked to our website or the Services.

These disclaimers include, but are not limited to, warranties of merchantability, fitness for a particular purpose, title, non-infringement, freedom from computer virus, and any implied warranties arising from course of dealing, course of performance, or usage in trade, all of which are expressly disclaimed. Additionally, we do not represent or warrant that the content accessible via the Services is accurate, complete, available, current, free of viruses or other harmful components, or that the results of using the Services will meet your requirements.

We do not guarantee that access to VIP Web3 Wallet or use of the Services and their functionality will be continuous, uninterrupted, timely, or error-free. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimers may not apply to you.

Subject to applicable law, you agree to defend, indemnify, and hold harmless us, our affiliates, and our respective shareholders, members, directors, officers, employees, attorneys, agents, representatives, suppliers, and contractors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the Services; (b) any feedback or submissions you provide concerning VIP Web3 Wallet; (c) violation of any Third Party Content; (d) your violation of the Terms; or (e) your violation of any law, rule, regulation, or the rights of any third party.

You agree that any claim arising from or related to your relationship with us must be filed within one year after the claim arises; otherwise, your claim is permanently barred.

Regardless of your location, these Terms and the parties’ relationship will be governed by the laws of the State of Panama as if you signed these Terms in Panama, without regard to Panama conflicts of laws rules. If any provisions of these Terms conflict with applicable law, those provisions will be superseded or modified to the extent necessary. The parties agree to submit to the exclusive jurisdiction of the federal or state courts in Panama for any dispute arising from your use of the Services or your breach of these Terms. You waive any objection based on lack of personal jurisdiction, place of residence, improper venue, or forum non conveniens in any such action.

Regardless of your location, these Terms and the parties’ relationship will be governed by the laws of the State of Panama as if you signed these Terms in Panama, without regard to Panama conflicts of laws rules. If any provisions of these Terms conflict with applicable law, those provisions will be superseded or modified to the extent necessary. The parties agree to submit to the exclusive jurisdiction of the federal or state courts in Panama for any dispute arising from your use of the Services or your breach of these Terms. You waive any objection based on lack of personal jurisdiction, place of residence, improper venue, or forum non conveniens in any such action.

Upon termination of your license to use VIP Web3 Wallet, your obligations under this Agreement will remain in effect. Access to the funds in your Wallet post-termination depends on your ability to access your backup of the Wallet address and private key.

We reserve the right, at our sole discretion and without cost to you, to modify or discontinue any portion of our Services, temporarily or permanently, with or without prior notice. It is your sole responsibility to maintain an external backup of any wallet address and private key pairs stored in your wallet, outside of the Services. This backup will enable you to access the Advance Blockchain network securing your wallet and fully restore your wallet at any time, without cost or loss of Digital Assets.

If you fail to maintain an external backup of your wallet data, you may lose access to the Digital Assets associated with your wallet if we discontinue all or part of the Services. VIP Web3 Wallet bears no responsibility or liability for any loss of Digital Assets in such instances.

Our failure to exercise or delay in exercising any right, power, or privilege under this Agreement shall not constitute a waiver thereof. Nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof. Any waiver of any right or provision of this Agreement will be effective only if in writing and signed by a duly authorized representative of us. Except as expressly set forth in this Agreement, the exercise by either party of any remedies under this Agreement will be without prejudice to its other remedies under this Agreement or otherwise.

If any part of this Agreement is found to be invalid, void, or unenforceable, that provision will be deemed severable and will be limited or eliminated to the minimum extent necessary. The limitation or elimination of such provision shall not affect the validity or enforceability of any remaining part of that provision or any other provisions of these Terms.

The parties agree to resolve any dispute arising from this Agreement or your use of the Services through binding arbitration on an individual basis. Arbitration prevents you from suing in court or having a jury trial, and the parties expressly waive the right to a jury trial. The arbitration will take place in San Francisco, Panama, and will be conducted confidentially by a single arbitrator in accordance with the rules of the American Arbitration Association for consumer-related disputes, in English, with limited discovery. Hearings, if requested, may be conducted in person or by telephone, and the arbitrator may decide motions based on briefs without oral hearings. Except for class procedures and remedies as discussed below, the arbitrator has the authority to grant any remedy that would be available in court. The prevailing party in any action to enforce these Terms shall be entitled to costs and attorneys' fees, and the arbitral decision may be enforced in any court. Whether the dispute is heard in arbitration or in court, you and VIP Web3 Wallet agree not to commence or participate in any class action, class arbitration, or representative action or proceeding against the other.

We shall not be liable for any delays, failures in performance, or interruptions of service resulting directly or indirectly from causes beyond our reasonable control. Such causes include, but are not limited to: acts of God, acts of civil or military authorities, acts of terrorism, civil disturbances, industrial disputes, embargoes, war, strikes, natural disasters, interruptions in telecommunications or Internet services, failures of hardware or software, utility failures, vulnerabilities in smart contracts, technological changes, changes in interest rates or other economic conditions, changes to Advance Blockchain protocols, or any other unforeseen circumstances beyond our reasonable control. The validity and enforceability of the remaining provisions of this Agreement shall not be affected by such events. If our ability to perform the Services outlined in these Terms is hindered by such factors, including force majeure events or changes in applicable laws or sanctions policies, we shall not be held liable for Services provided during the affected period.

You acknowledge and agree that we may assign our rights, transfer, subcontract, or delegate our obligations under these Terms without notice or consent from you. These Terms shall bind and benefit the parties, their successors, and permitted assigns. Your agreement to these Terms is personal and may not be transferred or assigned to any third party without our prior written consent.

Unless expressly provided otherwise in these Terms, you agree that there are no third party beneficiaries to these Terms.

This Agreement constitutes the entire understanding and agreement regarding the subject matter herein and supersedes all prior discussions, agreements, and understandings of any kind (including any prior versions of the Terms), whether written or oral, between us. Any modification to these Terms must be in writing and signed by both parties, except as otherwise provided herein.

We will provide any notices or other communications under these Terms, including those regarding modifications, by posting them on the Services or through other electronic means. By using the Services, you agree to receive electronically all communications, agreements, documents, notices, and disclosures that we provide in connection with your account and use of the Services.
